Terms and Service
1. Introduction
1.1. Tradys Limited (“we”, “us”, “our”) is a company registered in England and Wales with company number 16390807. Our registered office address is Ground Floor, Westgate House, 44 Hale Road, Altrincham, England, WA14 2EX. You can contact us by email at info@tradys.co.
1.2. We own and operate a software mobile application (“App”), which allows subscribing tradespeople (“Service Providers”) to publish daily availability for work, so that subscribing clients (“Clients”) who are searching for available tradespeople can search, view and filter in accordance with their requirements. Service Providers and Clients will generically be referred as “Users”. Users can search the App to find potential Service Providers, and the App will help identify individuals who may be able to meet the Client’s requirements.
1.3. Services Providers can create a listing on the App setting out the nature of the services they are offering to supply (“Listings”).
1.4. Listings are created by Service Providers and not Us. We do not provide any assurance or guarantee to Service Providers that Clients will engage them. Demand from Clients will vary depending on a number of factors including time, location, price and specialist services offered. Such factors are beyond our control. We cannot guarantee any minimum levels of work for Service Providers. Service Providers expressly acknowledges this fact when agreeing these Terms of Service.
1.5. Service Providers are independent contractors who have no affiliation with Us. We do not therefore provide any assurance or guarantee to Clients that suitable Service Providers will be available via our App or the standard of Services to be provided by Service Providers. Clients must undertake their own checks prior to engaging a Service Provider.
1.6. By registering with Us, Users agree to be bound by these Terms of Service (“Terms”), and in doing so form an agreement between the User and Us (“Agreement). To use our services, you will be required to accept these Terms. Users will need to enter into a separate contract between the Client and Service Provider they choose to engage to provide the services required. If you do engage a User to provide services, you will become a customer of the Service Provider and will enter into a contract with them. The services are provided to you by the Service Provider, and not by Us. We are not a party to any such contract. We operate to enable introductions as referred to above. The provision of any services by a Service Provider to a Client will be subject to an entirely separate legal contract. If there are any issues with performance of those services, you will have legal rights of redress against the Service Provider directly, and not against Us.
1.7. Any individual who provides information to Us via the App confirms to Us that the information supplied is correct and that they are duly authorised to do so. We are entitled to rely on this confirmation.
1.8. To use our App, you must be at least 18 years old and have the legal capacity to enter into binding contracts with Us.
1.9. We reserve the right to change, modify, substitute or remove without notice any information or services listed on the App. If the App is used after such posting, then the User will be indicating its agreement to be bound by the new version of these Terms.
1.10 Users acknowledges that access to the App may from time to time be suspended, restricted or terminated. We will, where possible, give advance notice of any such restrictions. All reasonable efforts will be made to avoid any lack of service.
2. Our Role, Service and obligations of Users
2.1. We act solely as an intermediary platform facilitating connections between Service Providers and Clients. Each User is required to register by completing a business profile prior to posting availability or searching for Service Providers. Users must provide accurate and complete information during registration. Usernames and passwords must not be shared within any organisation or externally with third parties. Each User agrees to ensure that its registration details are correct both as at the date of registration and are kept up to date.
2.2. We do not employ, endorse, or guarantee the quality of Service Providers in any circumstance nor do we credit check Clients. We do not take any responsibility for any alleged non-payment of fees by Clients to Service Providers. Users are responsible for setting the relevant criteria and agreeing separate legal contracts relating to the supply of such services and the payment of relevant fees.
2.3. All Users making use of this App confirm that they accept sole responsibility for determining whether or not to enter into a contract with another User of this App. We are not party to any contracts formed between Users and Service Providers. Each User of the App is responsible for undertaking their own checks prior to entering into any legally binging Agreement with a Service Provider or Client and to determine whether they wish to seek independent legal advice in respect of the adequacy of any contract formed. It is the Client’s responsibility to undertake standard vetting procedures of Service Providers to verify they have the relevant skills and expertise for each individual task.
2.4. Under no circumstances shall we be responsible for any failure on the part of any User to undertake appropriate checks on another User prior to entering into any agreement for the supply of services.
2.5. Client shall solely determine if a Service Provider is successful with any proposal made. There is no obligation on a Client to accept any proposals made or to enter into a contract with any party.
2.6. We will not enter into any correspondence in respect of any dispute between Users. Any actual or potential dispute shall be the sole responsibility of Users to resolve. Each User of the App warrants that they will not seek to join Us to any legal proceedings brought against another User. In the event of any breach of this warranty, Users agree to indemnify Us for all costs and expenses incurred, including but not limited to legal fees on a solicitor/own client basis. The provisions of CPR Part 45 of the Civil Procedure Rules shall not apply.
2.7. In the event of any complaints being received regarding a User, we reserve the right to suspend or terminate a Users’ registration and use of the App at our discretion. User shall not be entitled to a refund of any fees paid to Us.
3. Profiles and Licence Fees
3.1. Users may create business profiles on the App. All information contained in each profile must be truthful and not misleading. We do not guarantee responses from any profiles which are created or messages which are sent.
3.2. We may provide a link from to a Service Provider or Client’s own website (where applicable) and may include a facility for a review to be posted on User’s performance which may be made available on the App for Users to see. Reviews should he honest and accurate. We reserve the right to remove reviews which do not comply with these guidelines.
3.3. Users will pay a “Subscription Fee” to register with the App as per the pricing detailed on App. The Subscription Fee will be either an annual fee or a monthly fee.
3.4. We require payment from Users before the User is able to use the App.
4. Representations
4.1. All Users agree that Listings and any associated content on the App are included on the instruction of the relevant User and are not representations, actions or statements of Us. They are not binding on Us but are representations, actions or statements of the relevant User.
4.2. We act in a facilitation capacity only, enabling Clients and Services to review each other’s offerings. We have no liability whatsoever in connection with any relationship or dealings between Users.
4.3. Users acknowledge that We are not responsible or liable in any way for any contracts formed as a result of a Listing or for any communications or data passing between Users. It is the responsibility of Users to negotiate and enter into any resultant contracts and to manage appropriate compliance with data protection laws.
4.4. We make no guarantees about the services offered or provided by a User nor give any assurances that any User is creditworthy.
4.5. We will comply at all times with applicable legislation including without limitation all data protection legislation, notably the Data Protection Act 2018 and the General Data Protection Regulation 2016/679 (together “Data Protection Legislation”).
5. User Conduct
5.1. Users agree to act in a responsible and professional manner. Users shall not engage in fraudulent, misleading, or deceptive practices or seek to post or transmit unlawful, defamatory, or offensive content. Users shall respect intellectual property rights (IPR) of third parties and not infringe the IPR of others.
5.2. Users shall not use the App for any unauthorized commercial purposes.
5.3. All Users agree to comply at all times with applicable legislation including without limitation all Data Protection Legislation.
6.Liability
6.1. We have no liability for any losses or damages which may be suffered by any User. In accepting these Terms, each User agrees that either it did not rely on any representations (whether written or oral) of any kind or other than those expressly set out in these Terms. To the fullest extent permitted by law, we disclaim all warranties, express or implied, and shall not be liable for any damages arising from your use of the App or services obtained through it.
6.2. To the extent such liability is not otherwise excluded by these Terms, our total liability, whether in contract, tort (including negligence) or otherwise and whether in connection with these Terms or any other agreement, shall in no circumstances exceed in aggregate a sum equal to 250% of the fees actually by the User to Us.
6.3. We will take all reasonable measures to protect the App against third-party threats. However, Users shall have responsibility to take precautions against vulnerability to any computer virus, bugs, or other similar threats arising from Users’ use of the App and We shall have no liability in respect of the same.
6.4. Disputes between Users should be resolved directly between the parties involved. We are not responsible for mediating or resolving such disputes. Each User agrees to indemnify Us against any liability arising out from or in connection with any breach of these Terms by that User; any action taken against Us by another User or a third party resulting from that initial User’s actions or omissions; any breach of any law, including but not limited to relevant Data Protection Legislation.
7. Access and Termination rights
7.1. We reserve the right to suspend or terminate your access to the App at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other Users or our business interests.
8. Confidentiality
8.1. Each User agrees to keep all information contained in the App confidential (“Confidential Information”) in relation to third party Listings and shall not disclose any such information to third parties without the consent of the owner of the Confidential Information, save that it can disclose such information to those of its employees, agents or professional advisers who have a need to know and who are bound to keep the information confidential.
8.2. Obligations owed in respect of this clause will not apply to the whole or part of any Confidential Information which:
8.2.1. is lawfully obtained without any obligation of confidentiality.
8.2.2. is already in the other party’s possession other than as a result of a breach of this clause.
8.2.3. the other party can demonstrate is in the public domain (other than as a result of a breach of this clause);
8.2.4. is independently developed or acquired by that party without access to the Confidential Information.
8.2.5. is disclosed pursuant to a court order; or
8.2.6. is disclosed with prior written consent of the other party.
9. Governing Law
9.1. These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the English courts.
